1. Definition of Parties

1.1 The “Company” refers to Fliprunway Ltd, the owner of the Affiliate Program.

1.2 The “Affiliate” refers to the person or entity that applies and gets approved to promote the Company’s products/services and earn a commission.

2. Enrollment in the Affiliate Program

2.1 To enroll in the Affiliate Program, the Affiliate must submit an application. The Company may reject applications at its sole discretion.

2.2 The Affiliate must agree to these Terms and Conditions before being allowed to promote and earn commissions in the Affiliate Program.

3. Affiliate Responsibilities

3.1 The Affiliate is responsible for maintaining a high level of professionalism and integrity in their marketing and promotion of the Company’s products/services. Any attempt to discredit the Company or mislead potential customers may result in termination from the Affiliate Program.

3.2 The Affiliate must comply with all applicable laws and regulations in their marketing activities, including privacy laws, the Federal Trade Commission (FTC) Endorsement Guides, and others that may apply. Violations may result in termination as an Affiliate.

4. Commissions and Payments

4.1 The Company agrees to pay the Affiliate a commission for referred sales. The commission percentage or amount will be communicated upon approval into the Affiliate Program.

4.2 Commissions will only be paid out once the Affiliate has exceeded the minimum payment threshold set forth by the Company.

4.3 If a referred customer returns a product or cancels service, and a commission was paid for that transaction, the Company reserves the right to deduct the commission amount from future affiliate payments.

5. Confidentiality

5.1 The Affiliate may gain access to certain confidential Company information and intellectual property that should not be shared with external parties or used for purposes outside of promoting Company products/services. Affiliate agrees to keep such information confidential.

6. Termination

6.1 Either party may terminate participation in the Affiliate Program at any time with or without cause.

6.2 Upon termination, Affiliate shall immediately cease use of all Company trademarks, trade names, intellectual property, links to Company website, and other materials provided by the Company.

7. Modifications

7.1 The Company reserves the right to modify any of the terms and conditions in this Agreement at any time. Notification will be provided and Affiliate’s continued participation constitutes agreement to the modifications.

8. Governing Law Jurisdiction

8.1 This Agreement shall be governed under the laws of the United Kingdom.
